Inwardis License Agreement

This agreement is between BPW Consulting OÜ (registry code 10560025, Maakri 23A, 10415 Tallinn, Estonia — "we") and the person or organization that requests a trial key or purchases a license ("you"). You accept it by requesting a key, installing one, or using the software.

The premise of this agreement is simple and runs through every clause: Inwardis is self-hosted software. You run it on your own infrastructure, under your own control, with your own users and your own data — and correspondingly at your own risk and responsibility. We never operate your installation and never see what is in it.

1. License grant

Subject to this agreement, we grant you a non-exclusive, non-transferable, perpetual license to install and use the software within your own organization, on infrastructure you control, with no limit on users, projects, or model size. All features are included. A trial key grants the same rights limited to 30 days, one trial per email address and one per installation; after a trial, an installation accepts only a purchased license.

2. Updates

An active subscription entitles you to every release published during your paid period, via your personal download link; entitled releases remain re-downloadable indefinitely. A lapsed subscription never affects installed software — it only ends entitlement to releases published afterwards.

3. What you may not do

• Redistribute the software, product bundles, your personal download link, or license keys, or otherwise make them available to anyone outside your organization;
• sell, rent, sublicense, or offer the software as a service to third parties;
• remove or falsify the "Licensed to" notice or circumvent the license mechanism, except to the extent mandatory law permits;
• use the software in violation of applicable law.

Internal use is deliberately broad — installing on several of your own machines, giving access to your whole team, exposing your instance to your own users and agents are all simply use.

4. Your responsibilities

Because the software runs entirely under your control, the following are yours and not ours: the environment it runs in (hardware, OS, Docker, network, security); backups — the product ships backup tooling, using it is up to you, and we hold no copy of your data by design; the acts of your users and anyone you grant access; and the lawfulness of your own use, including any personal data you process in your models, for which you are the controller.

5. No warranty

The software is provided "AS IS" and "as available", without warranties of any kind — express or implied, including merchantability, fitness for a particular purpose, uninterrupted or error-free operation, or compatibility with your environment. The free trial exists so you can verify the software fits your needs before paying. Nothing in this section limits rights that mandatory law grants consumers.

6. Limitation of liability

To the maximum extent permitted by law: we are not liable for indirect, incidental, or consequential damages, lost profits, business interruption, or loss of data (see section 4 — backups are yours); and our total aggregate liability under this agreement is limited to the fees you paid us in the 12 months preceding the claim (for a free trial: zero). This limitation does not apply to damage caused intentionally or by gross negligence, or where mandatory law does not permit it.

7. Support

During an active subscription we provide reasonable-effort support, tied to a valid license. No response times are guaranteed, and support is assistance — operating the installation remains your responsibility.

8. Intellectual property

The software is licensed, not sold. We and our licensors retain all rights not expressly granted. Everything you create with Inwardis — your models, diagrams, exports — is yours entirely.

9. Termination

Your license is perpetual and does not expire. We may terminate it only for material breach of section 3 that you do not cure within 30 days of notice. Upon termination you must stop using the software and destroy your copies; sections 4–6 and 8 survive. A refund granted under the Terms of Service likewise terminates the associated license.

10. Governing law

This agreement is governed by the laws of the Republic of Estonia; disputes go to Harju County Court, Estonia. If you are a consumer, mandatory protections and jurisdiction of your country of residence remain unaffected. If a provision is held invalid, the rest stands.
